3. Change in ownership

During the year under review, 100% of the share capital of the company was sold from its existing shareholders to Seismic Venture Partners Limited, hence deeming the company a wholly owned subsidiary of Seismic Venture Partners Limited.

The companies existing funds were advanced to Seismic Venture Partners as an interest free, long term loan.

The company ceased trading with effect from 30th November 2017 and it is the directors intentions to commence procedures to close the company.

For the year ending 31 August 2017 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

Director's responsibilities

The member has not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared in accordance with the micro-entity provisions in the Companies Act 2006, Pt. 15 and FRS 105 the Financial Reporting Standard applicable to the Micro-entities Regime.
These accounts have been delivered in accordance with the provisions applicable to companies subject to the small companies' regime.
